What Is An 8-K

The most important form
in US corporate disclosure.

A Form 8-K is filed by publicly traded companies to notify shareholders of material events — M&A, leadership changes, bankruptcy, cybersecurity breaches, earnings deviations. Every 8-K is a signal. Our system processes hundreds per day.

Dual-Track Architecture

Even polling cycles use EFTS (lower latency, last 10-minute window). Odd cycles use the EDGAR RSS Atom feed (broader coverage, authoritative). Deduplication via SHA1 hash prevents double-alerts.

EFTS returns ciks, display_names, and adsh fields. We extract company CIK, name, and build the direct Archive document URL — no browse-edgar roundtrips.
