Terms of Service

1. Acceptance of Terms

By accessing or using any VH Capital Group LLC service — including SEC Alpha-Sentinel, Reconstruction Intelligence OS, and this website — you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

VH Capital provides subscription-based intelligence platforms that:

• Monitor public regulatory filings (SEC EDGAR, ESMA, EBA, World Bank, ProZorro, USAID)
• Apply AI analysis to generate compound signals and investment intelligence
• Deliver alerts, digests, and dashboards to subscribers

3. Subscriptions and Payment

Subscriptions are billed monthly. You may cancel at any time before the next billing cycle. We offer a 30-day free trial for new subscribers — no credit card required to start. After the trial period, continued use requires a paid subscription.

Refunds: if you experience a service outage exceeding 48 consecutive hours, you are entitled to a prorated credit for the affected period.

4. Not Investment Advice

VH Capital intelligence products are for informational purposes only and do not constitute investment advice, financial advice, trading advice, or any other form of advice. We are not a registered investment advisor, broker-dealer, or financial planner. Users must conduct their own due diligence and consult appropriate professionals before making any investment or business decision.

5. Data Sources and Compliance

All intelligence generated by VH Capital is derived exclusively from publicly available data sources:

• SEC EDGAR (public under US securities law)
• ESMA Short Selling Register (public under EU SSR Regulation)
• EBA Risk Dashboard (public institutional data)
• World Bank Open Data, USAID USASpending.gov
• ProZorro (Ukrainian public procurement)
• UN Comtrade, USITC, and other public government databases

No material non-public information (MNPI) is used. Users must independently verify compliance with applicable securities laws, including insider trading regulations, before acting on any intelligence provided.

6. Permitted Use

You may use VH Capital services for:

• Internal research, analysis, and investment decision-making within your organization
• Client advisory work within your professional practice
• Academic and journalistic research with appropriate attribution

You may not:

• Resell, redistribute, or sublicense intelligence outputs without written permission
• Use the service to build a competing intelligence product
• Scrape, copy, or reproduce our signal infrastructure
• Use the service in violation of applicable securities or financial regulations

7. Accuracy and Limitation of Liability

We make reasonable efforts to ensure accuracy, but intelligence signals are generated by automated AI systems processing public data. Errors, omissions, and delays can occur. VH Capital provides services "as is" without warranty.

VH Capital Group LLC shall not be liable for any investment losses, missed opportunities, or other damages arising from use of our products. Our maximum liability in any circumstance is limited to the subscription fees paid by you in the 30 days preceding the claim.

8. Confidentiality

Alert content delivered to your account is for your internal use. Do not share individual alerts publicly or with parties outside your organization without our prior written consent.

9. Modifications

We may update these terms at any time. Continued use of the service after notification of changes constitutes acceptance of the updated terms. Material changes will be communicated by email.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved in the courts of Delaware or through binding arbitration at our election.
